2. Acceptance of Terms

By using Meerkly, you agree to these terms of use. If you do not agree, please do not use our service.

3. Service Description

Meerkly is a SaaS platform that helps local businesses manage and automatically respond to their online reviews using artificial intelligence. The service supports a growing set of review platforms, currently Google Business Profile, Facebook / Meta, Yelp, TripAdvisor and Booking.com, accessed through each platform's official API or through third-party data providers. Where a platform allows it, Meerkly may pull review data, generate AI-drafted responses, and publish responses on behalf of the user after their approval; for read-only platforms, Meerkly drafts the response for the user to publish manually. Availability of specific platforms depends on the user's plan.

4. Account Registration

You must create an account to use Meerkly. You are responsible for the confidentiality of your credentials and all activities performed from your account.

5. Free Plan

Meerkly offers a Free plan with no time limit and no payment card required, covering one Google listing. No plan offers a trial period.

6. Billing and Payments

Essential and Pro plans are billed immediately upon signup, with a valid payment card on file. Monthly plans are then billed monthly; annual plans are billed yearly. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No refunds are granted for partial periods, unless required by law.

7. Acceptable Use

You agree to:

  • Use Meerkly only for lawful activities
  • Not attempt to manipulate, falsify, or incentivize fake reviews
  • Not use the service for spam or misleading content
  • Comply with the terms of service of every connected third-party platform (Google, Meta, Yelp, TripAdvisor, Booking.com, etc.)
  • Review and approve AI-generated content before publication where required

8. Third-Party Service Connections (OAuth)

To deliver its features, Meerkly connects to third-party platforms (such as Google Business Profile and Facebook / Meta) using the OAuth authorization flows provided by those platforms. By connecting your account, you authorize Meerkly to:

  • Read review and listing data associated with the locations you connect;
  • Draft response content using AI on the basis of that data;
  • Publish responses on the connected platform only after your approval (unless you explicitly enable an auto-reply mode that you can disable at any time);
  • Receive notifications and webhooks from the platform (e.g. new reviews, page events);
  • Operate within and respect the terms of service, technical limits, and policies of each connected platform.

You may revoke Meerkly's access at any time, either from inside Meerkly (by disconnecting the integration) or from the third-party platform's own security settings. Revoking access will stop further data access and publishing on your behalf.

9. Ownership of Customer Data

You retain ownership of the data you bring into Meerkly, including reviews fetched from connected platforms, customer information, and content you author. You grant Meerkly a limited, worldwide, non-exclusive license to host, process, and display this data strictly for the purpose of providing the service to you.

For 30 days after termination of your account, you may export your data from your dashboard or by written request. After this period, Meerkly may delete the data in accordance with the privacy policy.

10. Intellectual Property

Subject to your compliance with these Terms and our Acceptable Use rules, content generated by Meerkly (review responses) is made available for your commercial use. Meerkly retains all rights in its platform, code, models, prompts, designs, and algorithms.

11. Limited Warranty and AI Outputs

The service and any AI-generated content (including suggested review responses) are provided "as is" and "as available", without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI outputs may contain inaccuracies, omissions, or content that does not reflect your voice or business reality. You are solely responsible for reviewing, approving, and editing any AI-generated content before it is published on a third-party platform under your name.

12. Subprocessors and Cross-Border Transfers

Meerkly relies on a list of trusted subprocessors (hosting, payments, email, SMS, AI), some of which operate outside Quebec. The current list and the safeguards we put in place are described in our Privacy Policy.

13. Limitation of Liability

To the fullest extent permitted by law, Meerkly shall not be liable for indirect, incidental, consequential, or punitive damages resulting from the use of the service, including loss of revenue, data, reputation, or business opportunities. Meerkly's total aggregate liability is limited to amounts actually paid by you in the 3 months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Meerkly, its directors, employees, and partners against any claim, loss, or damage (including reasonable legal fees) arising out of:

  • Your misuse of the service or breach of these Terms;
  • The content you publish or approve through Meerkly;
  • Any violation by you of the terms of service of a third-party platform connected through Meerkly (e.g. Google, Meta, Yelp, TripAdvisor, Booking.com).

15. Force Majeure

Meerkly is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labour disputes, cyberattacks, internet or hosting outages, and outages or material changes to third-party APIs (e.g. Google, Meta, Yelp, TripAdvisor, Booking.com, Stripe, Anthropic, or third-party data providers) on which the service depends.

16. Service Availability

We target 99.5% uptime. Scheduled maintenance may cause brief interruptions, announced in advance by email when reasonably possible.

17. Termination

You may cancel your account at any time. Meerkly reserves the right to suspend or terminate an account in case of violation of these terms or of the rules of a connected third-party platform.

18. Assignment

You may not assign or transfer these Terms without Meerkly's prior written consent. Meerkly may assign these Terms, in whole or in part, in the context of a merger, acquisition, reorganization, or sale of assets, with notice to you.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

20. Changes

We may modify these terms. In case of a significant change, you will be notified at least 30 days before they take effect.

21. Governing Law and Jurisdiction

These Terms are governed by the laws in force in the province of Quebec, Canada, and the applicable federal laws of Canada. Any dispute shall be submitted exclusively to the competent courts of the judicial district of Joliette, Québec.
